Article 10 to 13

Article 10: Winding-Up

10.1 In the event of SAREAA being wound-up any assets and funds left over after the payment of all creditors and the settlement of all dues and debts shall be paid to a non-profit charitable environmental organization decided at an Annual Convention or failing the same by the Executive Board.

Article 11: Amendments to the Constitution

11.1 This constitution may be amended at any Annual Convention by the adoption of a resolution of which due notice has been given provided the resolution is supported by at least two thirds of the members of SAREAA.

11.2 Votes supporting or opposing such a resolution may be cast by members of SAREAA through its delegation present at such Annual Convention, or in writing sent in time to reach the President before the vote on such resolution.

Article 12: Relationship with International, Regional and National Organizations

12.1 SAREAA shall, in order to broaden its scope of activities, enter into agreement with relevant national, international and regional organizations and others which share comparable goals and objectives of SAREAA, defining the scope of cooperation, distribution of responsibilities and the methodologies required therefor.

Article 13: Depositary

13.1 The Executive Board shall decide on the organization or organizations that it would like to set up as the depositary or depositaries of this agreement.

13.2 The depositary or depositaries shall incorporate and preserve all future changes and amendments to this agreement.

13.3 The depositary or depositaries shall furnish certified copies of this agreement whenever required.

In faith whereof, the undersigned, duly authorized to that effect, have agreed to this constitution by signing this document;

Done in Kathmandu on this 19th day of August of the Year 2000 in eight copies, one copy each for the Initial Member NEAAs and the remaining to be kept by the Executive Board for forwarding to the depositary or depositaries as the Executive Board may decide.
