| Article 7: Convention and Conferences 7.1 SAREAA shall hold an Annual Convention. Such Convention shall be held, by giving two calendar month's notice from the Executive Board, on such date, time and venue as decided by the Executive Board. Every Member Association will receive such notices. Associate members shall receive their notices from the respective NEEAs. Notices to member Associations shall be dispatched by registered post by the secretariat / office of SAREAA in time to give the requisite notice aforesaid. 7.2 Each member NEAA shall send two delegates one of whom shall be the SAREAA vice-president or his authorized representative. 7.3 The following business shall be transacted at the Annual Convention. a) Reading of the notice convening the convention. b) Presentation, discussion and adoption of the report of the Executive Board covering the period since the previous Annual Convention; c) Presentation, discussion and approval of the audited accounts of SAREAA for the financial years since the previous Annual Convention; d) Election of officers to the Executive Board on alternate annual conventions and e) The appointment of chartered / public auditors; f) Adoption of by-laws and amendments, if any; g) Consideration of resolutions proposed by members with at least one calendar month's notice to the Secretariat. h) Any other business that may need to be transacted 7.4 The Executive Board may also arrange for the holding of workshops, group discussions and other activities preceding or following the Annual Convention. Article 8: Finance and Accounting 8.1 The financial year of SAREAA shall be from the 1st of January to the 31st of December each year. 8.2 The funds of SAREAA shall be kept in such bank account as the Executive Board may decide and the same will be operated by two persons as authorized by the Executive Board. 8.3 The President shall cause to be kept proper and adequate books and accounts, vouchers and receipts for the good management of SAREAA income and expenditure, assets and liabilities and shall cause to be prepared for each financial year an income and expenditure account and a balance sheet in keeping with internationally accepted accounting standards and shall cause the same to be audited and certified by chartered or public auditors duly appointed for such purposes by members of SAREAA at the Annual Convention. 8.4 The audited statement of accounts together with the report of the President and draft by-laws shall be sent to all member NEAAs. Article 9: By-Laws 9.1 The Executive Board may prepare for approval at Annual Conventions bylaws consistent with this constitution for the purpose of giving effect to this constitution and furthering the objectives of SAREAA. 9.2 Without prejudice to the generality of the foregoing powers, the Executive Board may prepare for adoption at Annual Convention by-laws on the following matters: a) Applications for membership, evaluation of such applications, conditions of membership including the payment of membership fees, and disenrollment of members for non-payment of fees; b) Admission of Associate members and conditions of such membership including disenrollment of such Associate members; c) The establishment and maintenance of a Secretariat or office, the appointment remuneration conditions of service, disciplinary control and dismissal of employees, consultants and independent contractors: d) The conduct of Annual Conventions, the manner of voting and the passage of business at such Conventions; e) The conduct of proceeding by the Executive Board; f) The keeping of minutes and records of the Annual Convention, the business of the business of the Executive Board and other groups and subsidiary bodies established by SAREAA; g) The keeping of books of accounts, vouchers and receipts, the maintenance of financial control and the operation of bank accounts; h) Other matter on which by-laws have been authorized to be prepared by resolutions adopted at the Annual convention. |
