| Article 4: Executive Board 4.1 The Executive Board shall comprise: a) President who shall be the elected nominee of the Executive Board of the NEAA, by rotation in alphabetical order of the names of the country of the NEAAs in English,
4.2 The tenure of the Executive Board shall be two years, commencing 1st of November and ending on 31st October two years later, with the provision that the First Executive Board will start functioning from 19th August 2000 and continue until 31st October 2002,
4.5 Three Executive Board Members shall form the quorum for the Board meeting. 4.6 Resignation and general cessation of duties shall be valid under the endorsement of the Executive Board Article 5: Duties and Functions of Executive Board 5.1 The duties, functions and powers of the Executive Board shall be: a) To manage SAREAA and its business between Annual Conventions; b To provide direction and guidance to the SAREAA secretariat and office; c) To raise funds for SAREAA and to manage such funds including the preparation of annual audited accounts for approval at the Annual Convention; d) To recruit employees, consultants and independent contractors for the purpose of SAREAA e) To establish project-specific task groups and a management structure for the conduct thereof; f) To make recommendations on matters required by the constitution and prepare by-laws for approval at the Annual Convention; g) To ensure as may be required quality control of all functions, task groups, and activities carried out by the SAREAA, h) To do all such other things as are necessary, conclusive or incidental to the above powers, functions and duties and to the achievement of the aims and objectives of SAREAA. 5.2 The Executive Board may make its decisions by electronic-mail, facsimile or telephone, or by written resolution signed by all members, and duly communicated to all concerned. In the event of any equality of votes, the President shall have a casting vote, 5.3 The Executive Board shall meet at least once an each year in a location fixed by rotation by the members of the Executive Board. Article 6: Duties and Functions of the President and the Secretariat 6.1 The President of SAREAA shall be a person committed to the demands and rigors of environmental assessment of the region of South Asia and shall commit his time and activity to the entire region without discrimination. 6.2 The Secretariat of SAREAA shall operate directly under the supervision of the President who will be assisted by the other officials of the Executive Board. 6.3 The Secretariat of SAREAA shall be located in the country of the current President. 6.4 Conventions and Executive Boards meetings shall be convened by the President. 6.5 The Secretariat shall be responsible for the daily operation and activities of SAREAA, including the coordination of project-specific task groups and logistical / secretarial services; 6.6 The Secretariat shall coordinate the finance and accounting practices of SAREAA and ensure timely execution of external obligations to financial supporters; 6.7 The Secretariat shall make use, on a rotational basis, of short-term contractual staff identified from the membership of SAREAA; 6.8 The Secretariat shall coordinate the production of SAREAA publications, articles, project proposals, liaison with donors, and any other administrative duties for the proper functioning of SAREAA |
